General terms and conditions of sale

1. GENERAL
These general terms and conditions of sale apply unless otherwise agreed in writing between the parties.
For anything not further specified in these general terms and conditions of sale, the provisions of the most recent legislation on public procurement and its implementing decrees, including all subsequent amendments, shall apply.
This concerns an obligation of means.

2. ACCEPTANCE OF ORDER
The client is considered to have accepted the order performed by Aquafin unless they formally reject it in writing.

3. INVOICING AND PAYMENT TERMS
Invoicing takes place immediately after the execution of the order. The client has a payment period of 30 days.
In case of late payment, the interest provisions under public procurement legislation apply automatically.

4. OTHER PROVISIONS
The order to which these general terms and conditions apply is governed by Belgian law.
The parties acknowledge and declare that, to the extent legally possible, they may only bring claims against each other, and not their respective representatives or assistants (directors and employees), in the context of the formation, execution, or termination of this agreement. The application of Article 6.3 ยง 2 of the Belgian Civil Code is explicitly excluded. These representatives or assistants may invoke the provisions of this agreement as third-party beneficiaries.

In any dispute regarding the validity, interpretation, or execution of the order to which these general terms and conditions apply, as well as any other agreements arising therefrom, an amicable settlement will be sought. If no amicable settlement can be reached, the courts of Antwerp shall have jurisdiction.
